There is a global movement to give shareholders a greater role in the corporate process. Say on Pay, which gives shareholders the right to cast binding or advisory votes on executive compensation, is one important way to safeguard the rights of shareholders as a group vis a vis managers and boards of directors. This study reviews the evolution of diverse forms of Say on Pay in an international context: legislated vs. shareholder-initiated votes and binding vs. non-binding votes.
